The Board of Directors and the Officers of the Company are accountable to the Company as fiduciaries and, consequently, must exercise good faith and integrity in handling the Company’s business. Nevertheless, in the conduct of the Company’s business, actual or potential conflicts may arise between the interests of the Company and those of Management and the holders of stock. Because the Company will be operated by Management, these conflicts will not be resolved through arm’s-length negotiations, but rather through the exercise of the Management’s judgment consistent with their fiduciary duty to the Company and the investors herein.
